Terms & Conditions
1. Pricing and Invoicing
All prices are excluding VAT. (VAT is not invoiced outside Sweden.) Standard payment terms are 15 days. Invoicing for Web Services occurs quarterly and begins when the client is invited to the production-ready website. Costs related to license fees (images, fonts, videos, etc.) or extraordinary expenses like travel and accommodation, which are not specified in this proposal, will be invoiced separately. We reserve the right to adjust these estimates if unforeseen circumstances arise or if the project scope changes, as our initial calculations are based on preliminary information.
2. Project Payment Schedule
A 50% down payment of the proposal’s lower estimated cost is required at the outset of the project. The remaining 50% will be invoiced monthly based on project engagement until the project's completion and approval.
3. Web Services
Website hosting and maintenance, as well as third-party applications and services, are included in Stormfors Web Services as specified. Ongoing work by our team is invoiced by the hour, and for new projects, Stormfors will provide cost estimates upon request. Invoicing for Web Services occurs quarterly and starts when the client is invited to the production-ready website.
4. Ownership and Intellectual Property
Intellectual property rights of the website design, graphics, and content become the client’s property once all invoices have been paid. (Note: This excludes proprietary functions, services, or subscriptions supplied by Stormfors Web Services.)
5. Warranty
Stormfors offers a two-week warranty post-launch to fix any bugs or issues directly related to the website build at no additional cost.
6. Termination
If either party wishes to terminate the agreement, they must provide written notice. Upon termination, any completed work will be invoiced and no refunds will be issued. Either party may terminate the Web Services agreement before the next quarterly invoice is issued. Migration of services upon termination may incur additional fees depending on the scope of the request.
7. Force Majeure
Neither party will be held liable for delays or failures in performance due to causes beyond their control, including but not limited to acts of nature, changes in laws, or disruptions from third-party service providers.
8. Changes to Agreement
Stormfors reserves the right to modify these terms. Any changes will be communicated to the client with a minimum of three months’ notice.
9. Permissions and Liabilities
The client grants Stormfors the right to discuss the project publicly and to include a reference link on the website. Stormfors is not responsible for issues arising from third-party services or suppliers. If the client causes significant project delays, Stormfors will send an email reminder. Should the delay continue, Stormfors reserves the right to invoice the full proposal amount. If the client remains unresponsive after the reminder, Stormfors may halt the project. At that point, the agreement is considered nullified, but all pending invoices must still be settled by the client.
10. Dispute Resolution
Any disputes arising from this agreement will first be addressed through amicable discussions. If unresolved, both parties agree to binding arbitration under Swedish jurisdiction.
